TheMerryMahjongCo Wholesale Policy

Thank you for your interest in becoming a wholesale partner with TheMerryMahjongCo. Our wholesale program is intended for approved retailers, boutiques, clubs, and other businesses that wish to purchase and resell authentic TheMerryMahjongCo products.

By applying for or using a wholesale account, the wholesale partner acknowledges that it has reviewed this Wholesale Policy and agrees to comply with all provisions other than those addressing independently determined resale prices, which are governed by the unilateral resale policy described below.

Wholesale Account Approval

Wholesale accounts are reviewed and approved at the sole discretion of TheMerryMahjongCo. Submission of a wholesale application does not guarantee approval.

Applicants may be required to provide a valid business name, resale certificate or tax identification number, business website or social media page, and other information reasonably necessary to verify the business and evaluate the application.

TheMerryMahjongCo reserves the right, to the extent permitted by applicable law, to approve, deny, suspend, limit, or close a wholesale account at any time.

Account Access

Once approved, wholesale partners will receive access to wholesale pricing through their customer account. Approved partners must log in using the same email address submitted with their wholesale application unless TheMerryMahjongCo approves an account change.

Wholesale pricing and account access are provided only to the approved business. Login credentials, wholesale prices, and wholesale account access may not be shared with unauthorized individuals or businesses.

The wholesale partner is responsible for maintaining the confidentiality of its account credentials and for activity conducted through its account.

Wholesale Pricing

Wholesale pricing is available only to approved wholesale partners. Wholesale prices, product availability, discounts, and other wholesale terms are subject to change without notice.

Unless otherwise stated, the wholesale prices displayed through an approved wholesale account include the cost of standard shipping. Shipping costs are incorporated into the displayed wholesale prices and will not be charged separately for standard shipments.

Additional charges may apply to expedited shipping, international shipping, special delivery requests, unusually large or complex orders, remote delivery locations, address corrections, shipment redirections, or other circumstances that result in additional carrier or fulfillment costs. Any known additional charges will be disclosed before the applicable order is fulfilled.

Wholesale discounts may not be combined with discount codes, affiliate codes, retail promotions, rewards, or other offers unless expressly authorized by TheMerryMahjongCo.

Minimum Orders

Wholesale orders may be subject to minimum order quantities, product-specific minimums, or minimum order values. Any applicable minimums will be displayed through the wholesale account, shown at checkout, or communicated directly to the wholesale partner.

TheMerryMahjongCo reserves the right to establish or modify wholesale minimums at any time.

Payment Terms

Payment is due at the time an order is placed unless different payment terms have been approved in writing by TheMerryMahjongCo.

Orders will not be fulfilled until payment has been received or any approved payment terms have been satisfied.

The wholesale partner is responsible for providing accurate billing, payment, tax-exemption, and resale-certificate information. The wholesale partner may be responsible for taxes, fees, penalties, or other amounts resulting from inaccurate, expired, or invalid exemption information, to the extent permitted by applicable law.

Shipping

The cost of standard shipping is included in the wholesale prices displayed through an approved wholesale account unless otherwise stated.

TheMerryMahjongCo may select the carrier, shipping service, packaging, and fulfillment method used for a standard shipment.

Wholesale partners are responsible for providing a complete and accurate shipping address. Address changes should be submitted to TheMerryMahjongCo before an order is placed.

Additional costs resulting from an incorrect or incomplete address, refused delivery, unsuccessful delivery attempt, address correction, shipment redirection, storage fee, or other action attributable to the wholesale partner may be charged to the wholesale partner.

Delivery dates and transit times are estimates and are not guaranteed unless TheMerryMahjongCo expressly provides a written guarantee. To the extent permitted by applicable law, TheMerryMahjongCo is not responsible for carrier delays, weather events, natural disasters, incorrect shipping information, service interruptions, or other circumstances outside its reasonable control.

Risk of loss and responsibility for an order will transfer as provided by applicable law and the terms of the applicable carrier service.

Returns, Exchanges, and Damages

Wholesale orders are final sale and are not eligible for returns or exchanges unless an item arrives damaged, defective, or incorrect, except where otherwise required by applicable law.

Damaged, defective, missing, or incorrect items should be reported within seven calendar days after delivery. The wholesale partner should email hello@themerrymahjongco.com and provide:

  • The applicable order number;

  • A description of the issue; and

  • Clear photographs of the product, shipping carton, internal packaging, and shipping label.

The wholesale partner should retain the affected item and its original packaging until TheMerryMahjongCo has completed its review or provided further instructions.

TheMerryMahjongCo will review each timely submitted claim and, in its reasonable discretion, determine whether a replacement, account credit, refund, carrier claim, or other resolution is appropriate. Submission of a claim does not automatically guarantee a particular resolution.

Resale Channels

Wholesale partners may resell authentic TheMerryMahjongCo products through the retail store, website, or other sales channels disclosed in their approved wholesale application.

Products may not be sold through Amazon, Walmart Marketplace, eBay, Etsy, or another third-party marketplace without prior written authorization from TheMerryMahjongCo.

Wholesale partners may not sell products to other resellers, distributors, wholesalers, liquidators, or marketplace sellers without prior written authorization from TheMerryMahjongCo.

TheMerryMahjongCo may request information reasonably necessary to verify where and how its products are being offered or sold.

Unilateral Resale Policy

Each wholesale partner remains independently responsible for determining the prices at which it advertises, offers, and sells TheMerryMahjongCo products.

Nothing in this Wholesale Policy is intended to create an agreement between TheMerryMahjongCo and any wholesale partner concerning resale prices. TheMerryMahjongCo does not request or accept promises, assurances, or agreements from wholesale partners concerning the prices they will charge.

TheMerryMahjongCo has independently and unilaterally established the following policy for determining continued eligibility to purchase its products at wholesale:

TheMerryMahjongCo generally will not continue to supply, provide wholesale pricing to, or accept orders from a wholesale partner that advertises, offers, or sells a TheMerryMahjongCo product below the compare-at price established and published by TheMerryMahjongCo for that product.

For purposes of this policy, the compare-at price represents TheMerryMahjongCo’s established retail price for the applicable product.

In determining whether a product has been offered or sold below the compare-at price, TheMerryMahjongCo may consider the effective product price after applying:

  • Coupon or promotional codes;

  • Automatic or cart-level discounts;

  • Storewide discounts;

  • Product-specific rewards or credits;

  • Bundles that disproportionately discount a TheMerryMahjongCo product;

  • Buy-one-get-one or free-product offers;

  • Gift cards provided in connection with the purchase;

  • Rebates, cash-back offers, or loyalty benefits funded by the wholesale partner; and

  • Any other promotion that has the practical effect of reducing the product’s selling price below its compare-at price.

Ordinary sales tax and bona fide shipping charges will not be treated as part of the product’s selling price. A wholesale partner may independently offer free shipping, provided that the offer is not used as a substitute for or means of concealing a product discount that would otherwise violate this unilateral policy.

When TheMerryMahjongCo publicly offers a product at a temporary promotional price below its compare-at price, a wholesale partner may match—but not undercut—that publicly displayed promotional price for the same product while TheMerryMahjongCo’s promotion remains active.

TheMerryMahjongCo may independently authorize a specific retailer promotion or exception in writing. Any authorization will apply only to the retailer, products, sales channel, promotion, and period identified in the written authorization.

TheMerryMahjongCo will independently determine whether this policy has been followed and what action, if any, it will take. Possible actions include declining an order, canceling an unfulfilled order, suspending wholesale access, discontinuing wholesale pricing, or closing the wholesale account.

TheMerryMahjongCo is not obligated to provide advance notice, warnings, opportunities to cure, or explanations regarding its independent decision to continue or discontinue a wholesale relationship, except where required by applicable law.

Wholesale partners should not seek or provide assurances of compliance with this unilateral resale policy. Questions may be submitted solely for clarification of what the policy states; TheMerryMahjongCo will not negotiate or enter into an agreement concerning a wholesale partner’s resale prices.

This unilateral policy applies only to TheMerryMahjongCo products and does not govern the pricing of products manufactured or supplied by another business.

Product and Brand Integrity

Wholesale partners may not alter, relabel, rebrand, repackage, reproduce, duplicate, modify, or misrepresent TheMerryMahjongCo products without prior written authorization.

Products must be represented accurately and professionally. Wholesale partners may not make false, misleading, unsubstantiated, or unauthorized claims concerning TheMerryMahjongCo or its products.

Product images, descriptions, logos, trademarks, and other brand materials provided or approved by TheMerryMahjongCo may be used only to advertise and sell authentic TheMerryMahjongCo products.

The use of brand materials does not transfer ownership of any intellectual property to the wholesale partner. Wholesale partners may not register or use a business name, domain name, social media account, advertisement, or other identifier that falsely suggests ownership of, affiliation with, or authorization by TheMerryMahjongCo.

TheMerryMahjongCo reserves the right to request the removal or correction of content that is inaccurate, unauthorized, misleading, outdated, or otherwise inconsistent with its brand standards.

Account and Business Information

Wholesale partners must notify TheMerryMahjongCo if their business name, ownership, billing address, shipping address, resale certificate, tax information, website, sales channels, or contact information changes.

Updates may be submitted by emailing hello@themerrymahjongco.com.

Wholesale account access may be paused, limited, or removed if business information becomes outdated, inaccurate, incomplete, misleading, or unverifiable.

Wholesale accounts may not be transferred or assigned to another person or business without prior written authorization from TheMerryMahjongCo.

Enforcement and Account Closure

TheMerryMahjongCo may decline or cancel unfulfilled orders, suspend wholesale pricing, restrict account access, or close a wholesale account when it reasonably believes that:

  • This Wholesale Policy has been violated;

  • Account information is inaccurate or unverifiable;

  • Products are being sold through an unauthorized channel;

  • Products or brand materials are being misrepresented;

  • Account access has been shared without authorization;

  • Payment obligations have not been satisfied;

  • The wholesale relationship may harm the brand, its customers, or its authorized sales channels; or

  • Continuing the wholesale relationship is no longer commercially appropriate.

Except for the unilateral resale policy described above, continued use of wholesale account access constitutes acceptance of the applicable wholesale account terms then in effect.

Account suspension or closure does not eliminate any payment or other obligation arising before the effective date of the suspension or closure.

Policy Updates

TheMerryMahjongCo reserves the right to modify this Wholesale Policy at any time.

Changes may become effective when the revised policy is published, communicated to wholesale partners, or on a later effective date specified by TheMerryMahjongCo.

The unilateral resale policy may be modified, suspended, or discontinued independently by TheMerryMahjongCo at any time. TheMerryMahjongCo is not requesting agreement to any modification of that policy.

Continued use of a wholesale account after changes to the contractual wholesale account terms become effective constitutes acceptance of those revised terms, except where applicable law requires another form of notice or consent.
